Terms of Service
Last updated: May 30, 2026
These terms govern your use of PactPodz. By creating an account you agree to them. If you do not agree, do not use the platform.
Who Operates PactPodz
PactPodz is operated by Jake Lyons, doing business as PactPodz, located at 806 N Peoria St, Chicago, IL 60642. Contact: info@pactpodz.com
Eligibility
You must be at least 18 years old and a United States resident to create a PactPodz account. By creating an account, you represent that you meet both requirements.
Membership
A PactPodz membership gives you access to Daily Momentum Sessions, goal tracking, peer review, optional stakes, the member directory, The Board, community feeds, messaging, and co-working sessions when available.
Your trial week is a 7-day period that begins on the date of your first scheduled pod session. You are not charged during The Lobby or during your trial week as a New Member. Billing begins when you reach Full Member status, which happens after you complete a rotation with at least 60% attendance (3 of 5 sessions).
The standard rate is $29 per month. If you joined through a member referral or converted from a Sample Session, your rate is $19 per month. Once billing begins, your membership renews monthly at your rate until you cancel or your membership ends under these terms.
Members on a legacy founding rate keep that rate for as long as their membership remains active and in good standing. The founding rate is no longer offered to new members.
Member Status
PactPodz members move through three statuses. These statuses determine pod assignment, billing, and access.
The Lobby: You have signed up but have not yet been assigned to a pod. Pods are assigned on Sundays when your chosen timeslot has enough members to form a pod. While in The Lobby you can view your own profile and account settings, and you are not charged.
New Member: You have been assigned to a pod and are in your first rotation, which is your trial week. You can view your own content and your pod members' content. You are not charged during this period.
Full Member: You have completed a rotation with at least 60% attendance (3 of 5 sessions). Billing begins at Full Member status. Full Member status is permanent; you are not demoted from it.
Pod Sessions and Attendance
Daily Momentum Sessions are held on weekday mornings and run with no facilitator. Each session lasts up to 30 minutes and typically runs 15 to 20 minutes. A session includes a planning section at the start, a reflection section, and an optional open discussion at the end. Pods have 4 to 5 members and are reassigned each rotation based on timeslot preference through automated rotation. PactPodz does not guarantee specific pod compositions.
Your attendance requirement is 60% of your scheduled sessions, which is 3 of 5 in a standard week. Federal holidays that fall on a weekday are not counted as scheduled sessions, so they do not count against your attendance requirement. Sessions use a third-party video provider.
PactPoints
PactPoints track your attendance. They measure attendance only and are not affected by stakes or commitments.
You lose one PactPoint for each day your attendance falls below the 60% weekly threshold (attending fewer than 3 of 5 sessions in a week).
At the start of a rotation in which you met the 60% threshold, your PactPoints regenerate up to your maximum. A Full Member's maximum is 3 PactPoints. A New Member's maximum is 1 PactPoint.
When your PactPoints reach 0, you enter a Grace Week.
Grace Week
A Grace Week begins when your PactPoints reach 0.
If you meet the 60% threshold during your Grace Week, your standing is restored.
If you do not meet the 60% threshold during your Grace Week:
- If you are a New Member, your membership is cancelled.
- If you are a Full Member, your membership enters a pause window during which you may buy a RePact to restore your standing, as described below.
RePact
RePact is available to Full Members whose membership is in a grace pause window. Buying a RePact restores your active standing with a fresh set of PactPoints.
RePact pricing is set by PactPodz. Your first RePact costs $10. Each later RePact costs $10 more than the one before it ($10, then $20, then $30, and so on). There is a 16-week cooldown between RePacts.
While your membership is in the grace pause window, your monthly subscription continues to be billed. You have 14 days to buy a RePact. If you buy a RePact before the window ends, your membership returns to active immediately. If the 14-day window ends and you have not bought a RePact, your membership is cancelled and your subscription is stopped.
Optional Stakes
Stakes are optional. You are never charged a stake unless you opt in and set a stake amount. You set one stake amount, from $5 to $100, and that single amount covers both stake types below.
Attendance stakes: Attendance stakes are off by default. If you turn attendance stakes on, you are charged your stake amount for each day your attendance falls below the 60% weekly threshold. If you do not turn attendance stakes on, you are not charged anything for attendance.
Staked daily commitments: You may stake an individual daily commitment when you create it. If a commitment you staked is missed, or its proof (Drop Your Receipt) is rejected by your reviewer, you are charged your stake amount for that commitment. Commitments you did not stake are never charged.
Stakes are charged after the rotation ends, never upfront. Forfeited stake charges are revenue retained by PactPodz. PactPodz may direct a portion to charitable organizations at its sole discretion.
Settlement Process
Settlement runs weekly. A preview of any stake charges is generated on Friday and emailed to you, and charges are processed on Saturday (schedule times are based on UTC). Settlement charges are final and non-refundable except in cases of clear system error, at PactPodz's sole discretion.
Pausing Your Membership
You may pause your membership at any time from your account settings. While voluntarily paused, you have no pod assignment and no subscription charge.
Pause limits: a maximum of 2 consecutive pauses, and a maximum of 3 pauses in any rolling 8-week period. If you reach a limit, PactPodz blocks further pause requests until you complete an active rotation or the 8-week window clears. Reaching a pause limit does not by itself change your status or cancel your membership.
A grace pause window (see RePact above) is a different kind of pause: it is triggered by a failed Grace Week, your subscription continues to be billed during it, and it ends in either a RePact or cancellation.
Cancellation, Auto-Removal, and Refunds
You may cancel your membership at any time from your account settings. Cancellation stops future renewals. PactPodz does not provide prorated refunds for the portion of a billing period already paid; your access continues until the end of that period.
PactPodz may also end a membership in these cases:
- A New Member who does not meet the 60% threshold during a Grace Week has their membership cancelled.
- A Full Member whose grace pause window ends without a RePact purchase has their membership cancelled and their subscription stopped.
- A pod depends on a full room. A member who repeatedly misses attendance after returning from a pause may have their account removed so the pod can be filled by an active member.
You may re-register at the pricing in effect at that time.
PactPodz Referral Program
Every PactPodz member receives a referral link. External partners may also receive a link upon request. The terms below apply to anyone earning referral compensation through the program.
Active referred member. An “active referred member” means an account that meets all of the following:
- Subscription is current and not in dunning
- Attendance over the trailing 30 days is at or above the 60% threshold defined in the membership terms
- No payment failures within the trailing 60 days
- Account has not been canceled or suspended
Compensation. For each active referred member, the referring party earns $10 per calendar month for the first 12 months of that member's continuous active subscription, then $7 per calendar month after the 12-month mark for as long as that member remains active. Compensation is paid monthly in arrears.
In good standing. Referring parties with fewer than 10 active referred members must themselves be in good standing to receive payouts. Good standing means an active PactPodz subscription, no payment failures within the trailing 60 days, and attendance at or above 60% over the trailing 30 days. Lapse in good standing pauses payouts until restored.
Distributor status. When a referring party crosses 10 active referred members for 30 consecutive days, distributor status activates. While distributor status is active, the in-good-standing requirement is waived and payouts continue regardless of the referring party's personal participation. Distributor status is reviewed nightly and revokes if active referred members fall below 10 for 30 consecutive days. Standard payment, conduct, and cancellation rules continue to apply.
Custom partner page. Members or partners with active distributor status may request a custom landing page on PactPodz introducing them to people arriving through their link. PactPodz reserves the right to approve, modify, or decline custom page requests at its discretion.
Pod assignment. PactPodz uses a priority pairing algorithm in pod rotations. Members who joined under the same referral link are favored to share pods with each other when scheduling and timeslot constraints allow. In the Open Program this is a soft preference, not a hard rule.
Termination. PactPodz may terminate a referral arrangement and forfeit unpaid compensation for cause, including but not limited to fraud, misrepresentation, abuse, violation of platform terms, or marketing the program in a manner inconsistent with these terms. Either party may terminate without cause at any time. Termination ends future compensation but does not affect already-earned payments unless terminated for cause.
Changes. PactPodz may modify the program structure, including compensation rates and threshold definitions, with 60 days' written notice to active referring parties. Changes do not retroactively reduce already-earned compensation.
Private Cohort
The Private Cohort is an optional structure within the referral program that allows partners to bring their own community into PactPodz as a walled-off group.
Eligibility. The Private Cohort option is available either automatically, once a referring party reaches 25 active referred members concentrated enough to form at least one cohort pod (defined as 5 or more active members sharing a timeslot), or by upgrade with a $500 deposit. The deposit is refundable as a bonus payout once the cohort activates, and may be forfeited under the conditions below.
Activation. Until the cohort reaches the activation threshold, members signing up through the partner's link enter a waiting-room state. They complete onboarding, see partner-specific waiting-room context, and are not assigned to pods or charged a subscription. Once activation conditions are met, the cohort goes live: members shift to a private pod pool that rotates only with each other, and their trial week begins. Cohort members follow the standard billing trigger: they are not charged during the waiting room or during their trial week, and billing begins when they reach Full Member status.
Time cap. From the date of the partner's first signup, the partner has 60 days to reach activation conditions. If activation has not occurred within that window, the cohort dissolves. Waiting-room members are offered the option to enter the general PactPodz community immediately, and any deposit is forfeited.
Sustained-floor rule. After activation, if the active member count for the cohort drops below 12 for 30 or more consecutive days, the partner has 30 days to recruit the cohort back above the floor. If the floor is not restored, remaining members fold into the general PactPodz community. The partner continues to collect referral compensation on those members under the Open Program terms.
Compensation. Compensation under the Private Cohort uses the same $10 / $7 step-down structure as the Open Program.
Opt-out. Members in a partner's waiting room may opt to enter the general PactPodz community at any time before cohort activation. Their referral attribution to the partner is preserved.
